Terms & Conditions

 GENERAL

These Terms & Conditions shall apply to the sales of Goods by Sahaj to the Buyer with the exclusion of all other terms &conditions referredto, offered or relied on by the Buyer, whether in negotiation or at any stage in the dealings between the parties, including any standard or printed terms tendered by the Buyer, unless the Buyer specifically states in writing, separately from such terms, that it wishes such terms to apply and this has been acknowledged by Sahaj in writing.

Any variation to these Terms &Conditions (including any special terms &conditions agreed between the parties) shall be inapplicable unless agreed upon in writing by Sahaj.

PRICE AND PAYMENT

The price shall be the Recommended Retail Price less agreed discount, unless otherwise agreed in writing between the parties. All the other applicable taxes, duties, cess, charges and costs including GST and excise shall be borne by the Buyer.

Credit terms may be offered subject to satisfactory credit vetting of the Buyer by Sahaj. The offer of credit will be at the sole discretion of Sahaj.

In case of credit beingoffered to the Buyer, payment of the price and GST and any other applicable costs shall be due within 30 days of the date of the invoice supplied by Sahaj, unless otherwise agreed upon in writing. In cases where credit is not offered, payment will be required before release of goods by Sahaj.

All goods sold by Sahaj shall remain its property until Sahaj has received in full,from the Buyer,all the payments it is entitled to, including any damages, costs, interest and duties.

Payment: All the payments should be made only by Crossed Cheques/ Bank Drafts infavour of ‘Sahaj – An Organization for Women’s Development’in any of the Scheduled Banks or by bank Transfer, RTGS or NEFT or any other mode as may be agreed through normal banking channels.

All goods sold by Sahaj shall remain its property until Sahaj received payment in full from the Buyer

Payment add Cheque/Bank transfer, NEFT, RTGS, UPI In place of Cheque/ Bank Draft

The minimum order for discount is Rs.25,000/- and above. No discount on orders below Rs.25, 000/-.

SAMPLE

Where a sample of the Goods is shown to and inspected by the Buyer, the parties hereto accept that such a sample is representative in nature and the bulk of the order may differ slightly as a result of the manufacturing process.

Separate Invoice for the Samples/Prototypesand any further design development will be raised by Sahaj. All the applicable charges for the same shall be borne by the Buyer.

DELIVERY TERMS

Unless otherwise agreed upon in writing, delivery of the Goods shall take place at the address specified by the Buyer on, or as close as possible to the date required by the Buyer. The Buyer shall make all the necessary arrangements to take the delivery of the Goods whenever they are tendered for delivery, unless otherwise agreed upon by Sahaj.In an event of the change of address, the Buyer shall intimate the same to Sahaj.

The Buyer will, in every case, examine the goods on taking the delivery and thereafter will have no claim on account ofdamage to the goods, shortage of quantity or as to the nature of quality of the goodsor any other matter whatsoever.

Any damages, shortages, over deliveries and duplicated orders should be reported to Sahaj within 10 days of signed receipt to enable replacement or refund.

RETURN OF UNUSED GOODS

All goods are sold on a firm sale basis, i.e. Sahaj will not take back any goods not required or sold by the Buyer, unless otherwise agreed upon, and in which case the following terms apply:

1. Any returns must be authorized by a representative of Sahaj before any credit is given.
2. If Sahaj agrees to accept the return of goods that are not damaged, the Buyer will be responsible for the cost of carriage and will ensure that they are carefully packaged to avoid any damage in transit. Sahaj will not be obliged to accept any goods that are damaged in any way. Furthermore, Sahaj will only accept returns that appear in Sahaj’s ongoing Publication List. Sahaj follows strict quality control system and every product gets checked as per our QC standards. No goods will be taken back or exchange on QC issues unless it is damaged.

• Credit of amounts due or paid in will only be given for goods that are in saleable condition.
• There will be no returns & No refunds will be given
• All decisions made by Brand Sahaj

IN RETAIL SALE
Sahaj will take back and give full refund to customer if not satisfied with the product or received damaged in transit. Customer must inform and return the product in 7 days after received. Customer has to bear the courier or postage charges of the return.
Sahaj will provide exchange or refund after deducting administrative or other charges if any.

INTELLECTUAL PROPERTY RIGHTS

All Intellectual Property Rights produced from or arising as a result of the performance of this Agreement, shall so far as not already vested, become the absolute property of Sahaj, and the Buyer shall do all that is reasonably necessary to ensure that such rights vest in Sahaj by the execution of appropriate instruments or the making of agreements with third parties.

All trademark, copyright and other intellectual property rightsin any design, specification, process, method of working or other information relating to the Goods shall remain vested for all time in Sahaj. Any sale of Goods or suggestions Sahaj makes about possible applications, designs or uses of Sahaj’s Goods shall not, by implication or otherwise, convey any license to or transfer of any intellectual property rights related to goods. Buyer assumes all risks of any intellectual property infringement claims resulting from the use, (re)sale or processing of the Goods, whether singly or in combination with any other materials.

FORCE MAJEURE

Sahaj shall not be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply; and shall be entitled to a reasonable extension of its obligations. If the delay persists for such time as Sahaj considers unreasonable, it may, without liability on its part, terminate the contract.

GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of India and the parties hereby submit to the exclusive jurisdiction of the Indian courts.This sale for purpose of Legal Jurisdiction shall be deemed to havebeen concluded only at Dahod and only the Courts of Dahod shall becompetent to try all cases/suits arising out of the sale.
